XM Satellite Radio
Holdings Inc. seeks to
become a nationwide provider of audio entertainment and
information programming for reception by vehicle, home and
portable radios. Through its two high-power satellites
"Rock" and "Roll," the Company's XM Radio
service offers 101 channels of music, news, talk, sports and
children's programming developed by XM Satellite Radio or third
parties. The Company will build a subscriber base for XM Radio
through multiple distribution channels, including an exclusive
distribution arrangement with General Motors, other automotive
manufacturers, car audio dealers and national electronics
retailers. The Company launched commercial service in Dallas/Ft.
Worth and San Diego on September 25, 2001.
Incorporated in 1992 and publicly traded on the NASDAQ exchange since October 5, 1999, XM Satellite Radio Inc. - a division of XM Satellite Radio Holdings Inc. - is an emerging force in broadcasting. Its founding was prompted by the radio industry's first major technological change since the popularization of FM radio in the 1970s: the creation of a third broadcast band, transmitted by satellite, now taking its place alongside AM and FM on the radio dial.
One of only two companies with a license for this new national audio service, XM has assembled a "dream team" of creative radio professionals and a management team committed to leading the world into the next generation of radio. XM expects to transmit 100 discrete, nationwide radio channels to subscribers throughout the continental U.S. in digital sound from coast to coast. XM's powerful strategic and equity partners are leaders in their respective industries. These include General Motors, the largest U.S. auto and truck manufacturer; DIRECTV, the nation's largest distributor of multi-channel digital video programming; Clear Channel, the largest radio station operator; and American Mobile, a leading provider of integrated terrestrial and satellite digital mobile communications services.
In addition to the corporate headquarters and broadcast facilities in Washington, D.C., XM has broadcast facilities in New York and Nashville, and additional offices in Boca Raton, FL; Southfield, MI; and Yokohama, Japan.

Programming
With 100 channels of digital programming, XM is creating a new
world of audio entertainment.
Your interests are all here: music, sports, news, talk.
Ethnic programming, children's shows, offbeat entertainment. All
presented with the passion and expertise that are hallmarks of that
amazing XM sound. Radio has never seen an assemblage of talent and
programming like this: the most innovative deejays, compelling hosts
and authoritative experts in dozens of different specialties. In
addition, we've teamed with the world's leading broadcasters and
content producers including The Discovery Channel, Sesame Workshop,
NASCAR and CNN/Sports Illustrated, to name just a few.
If you purchase a new head unit this year, make sure it is
one of the Alpine or Pioneer models with the XM Ready logo. This
ensures full compatibility with XM tuner modules, which will be
available later this year. These tuner modules are installed in the
trunk of your car and connected to the head unit with an interface
cable, much like a CD changer.
XM Satellite Radio provides 100
coast-to-coast digital quality channels, offering everything from
1940s genre music to the latest in hip-hop. Consumers can subscribe
to the service for $9.99 a month - less than the cost of a single
CD. In addition, GM customers with GMAC financing can choose to
include the XM subscription in their car payments.
XM reported 201,500 subscribers as of
the end of the third quarter, just slightly ahead of its guidance of
200,000. The total figure excludes 16,400 demonstration, promotional
and employee accounts, XM said.
The company also said it remains on
track to report 350,000 subscribers by the end of calendar 2002.
